July 25, 2019, VANCOUVER, B.C. – Berkwood Resources Ltd. (“Berkwood” or the “Company”) is pleased to announce that on July 25, 2019 it held its annual general meeting of shareholders (the “Meeting”). A total of 7,116,042 common shares (approximately 12.45% of the outstanding common shares) were represented at the Meeting in person or proxy.

Each of the following individuals were elected as directors of the Company as approved by a vote by ballot, for a term expiring at the conclusion of the next annual meeting of shareholders of the Company or until their successors are elected or appointed, as follows:
2. Appointment of Auditor
The appointment of Smythe LLP, Chartered Professional Accountants, as the auditor of the Company, to hold office until the next annual meeting of shareholders of the Company, and the authorization of the directors of the Company to fix the auditor’s remuneration, was approved by a resolution passed by a vote by ballot, with 6,241,542 (100%) total votes cast “FOR” and 0 “WITHHELD/ABSTAIN”.
3. Stock Option Plan
The Stock Option Incentive Plan resolution was approved by a resolution passed by a vote by ballot, with 5,704,542 (91.40%) total votes cast “FOR” and 536,500 (8.60%) total votes cast “Against”.
Immediately following the annual meeting, the directors convened and the following were appointed offices for the ensuing year:
